Welcome to Chivals. These Terms of Service ("Terms") govern your access to and use of the Chivals iOS application and related services operated by Memelut Ltd ("Company", "we", "us", or "our"). By using Chivals, you agree to be bound by these Terms. Please read them carefully.
1. Acceptance of Terms
By downloading, installing, or using the Chivals application, you acknowledge that you have read, understood, and agree to be legally bound by these Terms of Service and our Privacy Policy, which is incorporated herein by reference.
If you do not agree to these Terms, you must not use Chivals. Your continued use of the application following any updates to these Terms constitutes acceptance of the revised Terms. We will notify you of material changes via in-app notification or email.
2. Eligibility
To use Chivals, you must meet the following eligibility requirements:
- You must be at least 18 years of age.
- You must submit a membership application and receive explicit approval from Chivals before accessing the platform.
- You must provide accurate, current, and complete information during the application process.
- You must not have been previously suspended or banned from Chivals.
- Your use of Chivals must comply with all applicable local, national, and international laws and regulations.
Membership in Chivals is a privilege, not a right. We reserve the sole discretion to accept or reject any membership application without obligation to provide a reason.
3. User Conduct
Chivals is a curated, respectful community. All members are expected to conduct themselves with dignity and courtesy at all times — both within the app and at Chivals events.
The following conduct is strictly prohibited:
- Harassment, intimidation, threats, bullying, or any form of abusive behaviour toward other members, guests, or staff.
- Any solicitation, arrangement, or facilitation of escort services, prostitution, or any transactional sexual activity.
- Discrimination based on race, ethnicity, religion, nationality, gender, sexual orientation, or disability.
- Creating fake profiles, impersonating another person, or misrepresenting your identity.
- Sharing, posting, or distributing content that is obscene, defamatory, or otherwise violates the rights of others.
- Soliciting or collecting personal information from other members without their explicit consent.
- Using Chivals for commercial solicitation, spam, or pyramid schemes.
- Attempting to reverse-engineer, hack, or otherwise disrupt the Chivals platform.
Violation of these conduct standards may result in immediate suspension or permanent termination of your membership, at our sole discretion.
4. Event Participation Rules
Chivals organises exclusive dining and social experiences. Participation in events is governed by the following rules:
- RSVP Commitment: An RSVP is a binding commitment. If you cannot attend, you must cancel at least 48 hours before the event.
- No-Show Policy: Repeated no-shows (defined as 2 or more unexcused absences in a 6-month period) may result in suspension of event access or membership termination. No-show fees may apply for male members who fail to cancel in time.
- Venue Rules: Members must comply with all venue rules and the instructions of Chivals staff and hosts.
- Guest Policy: Members may not bring uninvited guests to events unless explicitly permitted by Chivals for a specific event.
- Discretion: Events and attendee lists are private. Members agree not to publicly disclose the identities of fellow attendees without their consent.
Chivals reserves the right to modify, cancel, or reschedule events. In the event of cancellation by Chivals, any applicable fees will be refunded.
5. Content & Photos
You own your content. Any photos, text, or other content you submit to Chivals ("User Content") remains your intellectual property. We do not claim ownership over your User Content.
By submitting User Content to Chivals, you grant Memelut Ltd a non-exclusive, royalty-free, worldwide license to use, display, reproduce, and distribute that content within the Chivals platform for the purposes of operating and promoting the service, including to other members and in Chivals marketing materials.
You represent and warrant that:
- You have the right to submit such content and grant the above license.
- Your content does not infringe the intellectual property, privacy, or other rights of any third party.
- Your content does not violate any applicable law or these Terms.
You may withdraw content from your profile at any time. However, content that has been shared in event contexts with other members may not be fully retractable.
We reserve the right to remove any User Content that violates these Terms or our community guidelines, without prior notice.
6. Account Suspension & Termination
We reserve the right to suspend or permanently terminate your Chivals membership at any time, with or without notice, for any reason including but not limited to:
- Violation of these Terms or our community guidelines.
- Conduct at events that is disrespectful, threatening, or harmful.
- Providing false or misleading information during the application process.
- Repeated no-shows at events.
- Any activity that, in our sole judgment, harms the Chivals community or reputation.
You may terminate your own membership at any time by contacting legal@chivals.com or through the account deletion feature in the app. Upon termination, your right to access Chivals ceases immediately.
Termination does not affect any obligations or liabilities accrued prior to termination, including any outstanding event fees.
7. Disclaimer of Warranties
The Chivals application and all related services are provided on an "AS IS" and "AS AVAILABLE" basis, without warranties of any kind, either express or implied.
To the fullest extent permitted by applicable law, Memelut Ltd disclaims all warranties, including but not limited to:
- Implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
- Any warranty that the app will be uninterrupted, error-free, or free of viruses or harmful components.
- Any warranty regarding the accuracy, reliability, or completeness of any content on the platform.
We do not warrant the behaviour, reliability, or character of other members. Interactions with other members — both online and in person — are at your own risk.
8. Limitation of Liability
To the maximum extent permitted by applicable law, Memelut Ltd and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, goodwill, or personal injury.
In any case where liability cannot be excluded, our total aggregate liability to you for all claims shall not exceed the amount paid by you to Chivals in the three (3) months preceding the event giving rise to the claim, or EUR 100, whichever is lower.
Some jurisdictions do not allow certain limitations of liability. In such jurisdictions, our liability is limited to the maximum extent permitted by applicable law.
9. Indemnification
You agree to indemnify, defend, and hold harmless Memelut Ltd and its officers, directors, employees, agents, and partners from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or in connection with:
- Your use of or access to the Chivals application or services.
- Your violation of these Terms of Service.
- Your violation of any applicable law or the rights of any third party.
- Any content you submit to Chivals.
- Your conduct at any Chivals event.
We reserve the right, at our expense, to assume exclusive defence and control of any matter subject to indemnification by you, and you agree to cooperate with our defence of such claims.
10. Governing Law
These Terms of Service are governed by and construed in accordance with the laws of the British Virgin Islands, without regard to its conflict of law provisions.
Any dispute, controversy, or claim arising out of or relating to these Terms, or the breach thereof, shall be subject to the exclusive jurisdiction of the courts of the British Virgin Islands. You waive any objection to such jurisdiction or venue.
If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect. These Terms constitute the entire agreement between you and Memelut Ltd regarding your use of Chivals and supersede any prior agreements.
